Corporate actions and special events – M&A/liquidation
The brief
A blockchain-based payment start-up underwent a series of corporate actions and special events that required specialised knowledge in areas such as mergers and acquisitions (M&A), sale of intellectual property (IP) and voluntary liquidation under US and Swiss law.
In addition to supporting the client with M&A, sale of IP and undergoing liquidation, we were brought in to assist the client in defining and implementing a number of corporate actions.
Our approach
The core activities of this project involved:
- Preparing and presented company financials to the acquiring company;
- Conducting internal due diligence to prepare for external audit review and providing materials to support the acquiring company’s due diligence process;
- Planning and executing a variety of corporate actions to simply the company ahead of liquidation following extensive consultations with tax experts and legal counsel;
- Supporting the solvent wind down of the company, including entity restructuring, budgeting throughout the period, liquidation accounting, cash planning, etc.
The solution and key benefits
We supported the client through a successful acquisition of the company’s assets and intellectual property and its voluntary liquidation under US and Swiss law. The sale of the client’s intellectual property has been completed for approximately $200m, with Be UK acting as an operational adviser. We were also the responsible capital allocation adviser, ensuring the company never reached indebtedness under Swiss law.
